Carousel Capital Invests in Soteria Imaging Services

Leading Operator of Outpatient Diagnostic Imaging Centers in Mid-Sized Markets

November 11, 2004 - Charlotte, North Carolina and Louisville, Kentucky — Carousel Capital announced today an investment in Soteria Imaging Services, a leading private operator of outpatient diagnostic imaging centers based in Louisville, Kentucky. Soteria owns and manages 24 imaging centers focused on mid-sized markets primarily in the Mid-South and Midwest regions of the United States.

Carousel is making this investment in partnership with the Robert N. Jones family of Louisville, which is retaining a significant ownership stake in the company. "Soteria and the Jones family are very excited to partner with Carousel Capital on this transaction," said Bob Jones, President and Founder of Soteria. "Carousel's investment allows Soteria to continue pursuing growth opportunities across the region. As a family-owned business, Soteria was especially attracted to Carousel's history of successful relationships and partnerships with other CEOs, families, and businesses in the Southeast," he said.

Carousel Capital funded the transaction with equity from its second investment fund, Carousel Capital Partners II, and with debt provided by Allied Capital. Terms of the transaction were not disclosed. This transaction is Carousel's third investment in a Southeastern-based company during 2004.
